Mega Business Fund (Taiwan) II Limited(MBF-II) was incorporated under the laws of the Cayman Islands in December ,2003.
   
To finance the acquisition of its portfolio of ECBs,MBF-II issued U.S. $87,000,000 Senior Guaranteed Floating Rate Notes due Dec. 2005,U.S.$21,000,000 Senior Floating Rate Notes due Dec. 2005 , U.S. $12,100,000 Mezzanine Preference Shares and U.S. $14,800,000 Junior Preference shares.
   
The Class A1 Senior Notes
 
General US. $87 Million of Senior Guaranteed Floating Rate Notes due 2005
Issue price 100% Principal Amount
Interest 6 month LIBOR plus 0.25% p.a. semi-annually in arrear on 11 June and 11 December
Form of the Notes In bearer form and in denominations of US $ 100,000
   
The Class A2 Senior Notes
 
General US. $21 Million of Senior Floating Rate Notes due 2005
Issue price At 100% of Principal Amount
Interest 6 month LIBOR plus 1.00% p.a. semi-annually in arrear on 11 June and 11 December
Form of the Notes In bearer form and in denominations of US $ 100,000
   
The Mezzanine Preference Share
 
General US. $12.1 Million of Mezzanine Preference Shares
Issue price At 100% of Par Value
Preferential Dividends At an amount equal to 105.57% of Par Value on the Maturity Date and thereafter shall have a Par Value of zero
